The short answer: Shell construction means building a structure's skeleton and exterior enclosure — foundation, structural framing, exterior walls, roof structure, and sheathing — while leaving the interior unfinished for a later phase or a tenant build-out. Framing sits at the center of it: the frame is both the structure itself and the substrate that every layer of the envelope attaches to.
What a shell typically includes
Exact scope varies by contract, but a commercial shell generally covers:
- Foundation and slab (sometimes slab is deferred to build-out)
- Structural framing — wood, light-gauge steel, or a mix, floor by floor
- Exterior wall framing and sheathing
- Roof structure and roof deck, usually with roofing installed so the building is dried in
- Exterior doors and windows, or at minimum the framed and flashed openings for them
- Weather-resistive barrier, depending on where the envelope scope is drawn
What it deliberately leaves out: interior partitions beyond structure, finishes, ceilings, and most MEP distribution. Those wait for the tenant or the next phase.
Cold shell, warm shell, vanilla shell
Owners and brokers use three flavors, and the differences matter at bid time:
- Cold shell (sometimes "grey shell"): structure and enclosure only. No HVAC, minimal power, often an unfinished floor. Weather-tight, not comfortable.
- Warm shell: a cold shell plus a conditioned interior — HVAC, basic lighting and power, sometimes restrooms. A tenant can design a build-out without engineering the building's systems from scratch.
- Vanilla shell (or "white box"): a warm shell plus basic finishes — painted walls, ceiling, standard lighting — so a tenant can occupy quickly with minimal work.
Every step up the ladder shifts scope from the future tenant to the current project. Where you draw that line drives the framing package, because interior bearing conditions, shaft framing, and demising walls all move with it.
Framing's place in the envelope
People talk about the building envelope as membranes and insulation, but the envelope starts with the frame. The framing package establishes three things everything else inherits:
- Geometry. Wall lines, floor elevations, parapet heights, and opening locations. Every cladding joint and window sill lands where the frame put it.
- The substrate. Sheathing is what the weather barrier adheres to and what cladding fastens through. Panel edges need blocking, fastening patterns matter for shear, and a wavy wall makes a wavy wall no membrane can hide.
- The openings. Square, plumb, correctly sized rough openings are the difference between windows that flash cleanly and windows that leak in year three.
Tolerance is the quiet variable here. An eighth of an inch of sloppiness in framing becomes visible in cladding reveals and costly in air-sealing labor. The choice of frame matters too — our comparison of wood versus steel framing covers how each behaves as an envelope substrate.
Why developers build in shell phases
Three reasons come up on nearly every shell project we frame: leasing flexibility (tenants want to shape their own space), financing (a dried-in shell is a milestone lenders recognize), and schedule (the shell can be built while tenant negotiations are still running). Here in Minnesota there's a fourth: the calendar. A shell that starts in late spring is dried in before the weather turns, and interior build-outs can run all winter regardless of what's happening outside.

Most shell disputes live at the seams: who installs windows, who owns the weather barrier, where "roof structure" ends and "roofing" begins, whether stairs are in the shell.
